1. SECOA accepts MasterCard, VISA, Discover and American Express Credit Cards. All credit card orders will be charged at order entry, with freight charges and any additional charges posted at time of shipment.

2. Orders for custom made products may not be cancelled after receipt of authorization to begin production. Custom made products may not be returned by the Customer under any circumstances. Deposits and progress payments on engineered orders may be requested.

3. All prices and sales are in US dollars.

4. All sales shall be governed by the laws of the State of Minnesota.

1. The minimum order is $100.00 net per shipment for orders placed on open account. Orders under $100.00 must be paid for in advance of shipping, by VISA, MasterCard, Amex, Discover, or Check. For orders prepaid by check please verify sales total with SECOA.

2. All orders placed must be confirmed in writing. Signed fax orders will be deemed to meet confirmation requirements. All order will be confirmed by SECOA. Phone orders will be accepted if confirmed by Fax or letter within 10 days. Orders will be released for fullfillment only after confirmation.

3. Any order received by SECOA will include the terms and conditions appearing in this page regardless of any other terms offered, unless agreed to by SECOA in writing.

1. Prices are F.O.B. Champlin, Minnesota.

2. Orders will be shipped via the least expensive and best way as determined by SECOA. If you have a specific carrier or other routing instructions, please indicate them on your purchase order.

3. Check shipping containers for damage upon receipt of goods. Note any signs of damage on the shipper’s forms. Notify the freight carrier immediately for claim forms if damage is found. All claims for damage must be settled directly with the freight carrier.

1. Standard lead-time vary depending upon equipment and products. SECOA strives to ship all orders as quickly as possible. The standard lead time for each product is listed online and should show on your order list. If you require a faster turnaround on equipment please contact a SECOA Sales Representative for assistance.

2. SECOA shall not be liable for delay in or failure to fill any order if the cause of such failure or delay is the result, in whole or in part, of fire, flood, earthquake or other act of God, governmental regulation, or other cause reasonably beyond SECOA’S control.

1. All returns must be accompanied by a return authorization number. No returns will be accepted unless permission has been obtained from SECOA.

2. All returns are subject to a 20% restocking fee.

3. Custom manufactured items are not returnable.

SECOA shall in no event be liable for claims, expenditures, or losses arising from operational delay, work stoppages, or damage, injury or death to person or property caused by the use of the equipment, or for consequential damages of any nature whatsoever, and the Customer agrees to be responsible for and hold SECOA harmless against any such claims, expenditures or losses.

2. All warranty claims will be settled as determined by SECOA and will be conclusive upon the Customer.

All products manufactured by SECOA are warranted to be free at the time of manufacture by SECOA from defects in materials and workmanship. SECOA assumes no liability for any damage sustained by products during transit, all such liability being the responsibility of the shipper and/or customer. SECOA makes no warranty regarding the suitability of any product for any application unless specified engineering drawings are done by SECOA and the product is installed in accordance with those drawings.

To the extent possible, any manufacturer’s warranty on items supplied by SECOA, but manufactured by others, will be assigned to the Buyer. SECOA itself makes no warranties or guarantees with respect to such items manufactured by others. Except for this Limited Warranty, SECOA makes no express warranties, does not guarantee the performance of products manufactured or supplied by SECOA and specifically disclaims all implied warranties, including but not limited to the implied warranty of merchantability and the implied warranty of fitness for a particular purpose. No representative of SECOA may change or alter this Limited Warranty or extend this Limited Warranty to individuals or entities other than SECOA’s direct customers. SECOA’s exclusive obligations under this Limited Warranty will be limited to repairing or replacing, at its factory, any part or parts manufactured by SECOA which, within 36 months (three years) of delivery of product, appear to us upon inspection to have defects in materials and/or workmanship. Except for such repair or replacement, the election of which shall be made by SECOA in its sole discretion, SECOA shall have no liability for damages or losses of any kind or nature, including but not limited to direct, indirect, consequential, special, exemplary, or punitive damages, lost profits and business interruption losses, from the use or inability to use its products, even if SECOA is informed of the possibility of such potential losses or damages.

Application for any breach of this Limited Warranty must be made to SECOA in writing within 90 days of knowledge of the apparent defect, and no later than 36 months (three years) after initial delivery of the product. In addition, this Limited Warranty does not obligate SECOA to bear the cost of transportation in connection with repair or replacement of defective parts and the return of products to SECOA’s customers, and all such transportation costs will be the responsibility of SECOA’s customers unless otherwise agreed.

This Limited Warranty shall be applied and interpreted in accordance with Minnesota law and any dispute relating to this Limited Warranty shall be governed by Minnesota law.
